Exhedria Terms of Use

1. Who we are and what these terms cover
Exhedria is an invitation-only service for maintaining professional relationships, discovering people and requesting introductions. These terms govern use of exhedria.com and its member service. The service is operated by [FULL LEGAL NAME OF OPERATOR, trading as Exhedria, and any required BUSINESS MAILING ADDRESS (not a home address)], referred to as “Exhedria,” “we,” or “us.” Contact us at support@exhedria.com.
At the final profile-preview step, you must separately confirm that you have read and accept these Terms of Use and the Privacy Policy before completing signup. The service records the document versions and time of acceptance. Accepting the Privacy Policy does not waive your privacy rights or provide consent to optional marketing or unrelated processing. 2. Eligibility and your account
You must be at least 18, meet the service’s United States current-location eligibility requirement and have a valid invitation. An identity-provider account alone does not grant membership. Supply accurate account information, use your own identity and protect your sign-in credentials. Tell us promptly if you suspect unauthorized access. Do not share or sell accounts or invitations, impersonate someone else, or evade account restrictions.
You are responsible for activity you authorize through your account. These terms do not make you responsible for every unauthorized action regardless of fault. We may verify eligibility and restrict access where reasonably necessary to protect members or the service.
3. Relationships, introductions and search
Members decide whether to connect, respond or introduce someone. A search result, visible profile, suggested route or displayed relationship tier does not give you permission to contact someone through another channel, and does not guarantee an introduction, response, opportunity or outcome.
Relationship tiers reflect member assessments, not independently verified endorsements. The shared tier uses the weaker of the two assessments. The product may disclose the other member’s assessment tier during scoring after you begin your own assessment. Directional introduction permissions remain separate from the shared tier.
Respect blocks, declined requests, spam decisions, waiting periods and contact settings. Do not use another account, intermediary or outside service to bypass them. Invite people only when you have a legitimate reason and permission or another lawful basis to provide their contact information. Do not upload purchased contact lists or send unsolicited bulk invitations.
4. Acceptable use
Do not use Exhedria to harass, threaten, discriminate unlawfully, deceive, defraud or send spam. Do not upload unlawful content, malware, confidential information you lack permission to disclose, or content that infringes another person’s rights. Do not scrape member information, harvest contact details, probe accounts without authorization, evade access controls or deliberately disrupt the service. Report suspected abuse or security problems to support@exhedria.com without including passwords or unnecessary sensitive information.
5. Your content and member information
You retain ownership of content you submit. You give Exhedria a nonexclusive permission to host, store, reproduce, process and display that content only as needed to operate, secure and improve the service as described in the Privacy Policy and your settings. This permission does not authorize unrelated advertising use or sale of your content. It lasts while needed for those purposes, including applicable retention after deletion described in the Privacy Policy.
Only submit content you have the right to share. Respect other members’ privacy and intellectual property. Access to a profile or conversation does not authorize republication or unrelated use. Exhedria cannot prevent someone who has legitimately received information from retaining their own copy.
6. AI-assisted search
When enabled, AI-assisted search helps interpret a search and rank permitted profile evidence. It can be incomplete or wrong. Verify important information with the person concerned. AI does not decide relationship eligibility, introduction permissions or whether a request may be sent, and search results are not professional advice or a recommendation to hire, invest in or transact with someone.
The launch allowance is up to $1 in AI-search processing costs per member per UTC calendar month. It is an operating limit, not money, a redeemable credit or a guarantee of a particular number of searches. Availability also depends on service and provider limits. We may pause AI search to protect privacy, reliability or spending limits. Changes to future allowances will be communicated in the service. See the Privacy Policy for the information processed; do not put confidential or sensitive information in search prompts.
7. Charges and service tokens
Exhedria is currently free to use. We may introduce paid features or membership in the future, but will explain the applicable price and terms before you agree to pay. Continuing to use the current free service does not authorize future charges. Invitation and outreach tokens are service allowances, not currency, transferable property or cash balances. Any future paid offering will disclose its price and applicable terms before you agree to pay. These terms do not authorize an undisclosed subscription or automatic charge.
8. Availability and changes
Exhedria is launching with a small invited group. Features may change, and interruptions or errors may occur. We do not promise uninterrupted availability, a particular network size, successful introductions or a guaranteed response time. Support is available at support@exhedria.com; it is not an emergency service or a continuously staffed response channel.
We may change or discontinue features, with reasonable notice of material changes where practicable. We will identify the effective date of updated terms and provide notice of material changes. Where required, we will seek fresh agreement rather than treating silence as consent.
9. Leaving, restrictions and disputes
You may stop using Exhedria and request account deletion using available account controls or support@exhedria.com. Deletion and retention are described in the Privacy Policy. We may suspend or terminate access for a material breach, legal requirements or a credible safety/security concern. When appropriate and lawful, we will explain the reason and provide a way to request review through support. Urgent protective action may precede notice.
If a dispute arises, contact support@exhedria.com so we can try to resolve it. Nothing in these terms removes rights or remedies that cannot lawfully be excluded.
10. Proposed protections and governing law
Proposed clauses for owner and legal review; not effective yet.
To the extent permitted by applicable law, the service is provided “as is” and “as available,” without warranties of merchantability, fitness for a particular purpose or noninfringement. We do not warrant the accuracy of member information or AI output, the conduct of members, or any commercial, professional or personal outcome. You should independently evaluate people, opportunities and information before relying on them.
Exhedria provides communication tools and does not become a party to agreements or transactions between members. Members remain responsible for their own statements and conduct. This provision does not excuse Exhedria from responsibility for its own unlawful conduct.
To the extent permitted by law, Exhedria will not be liable for indirect, incidental, consequential, special or punitive damages arising from use of the service, including lost profits or lost business opportunities. This exclusion does not cover fraud, willful misconduct, gross negligence, or any liability or remedy that applicable law does not allow us to exclude or limit. [COUNSEL DECISION: whether to add an aggregate monetary liability cap, its amount and further exceptions; no zero-dollar cap is imposed simply because access is free.]
Subject to nonwaivable protections under applicable law, these terms are governed by Delaware law, excluding its conflict-of-laws rules. [Confirm the actual operator and formation before adopting; incorporation alone does not settle all governing-law or forum questions. No exclusive Delaware court clause is imposed in this draft.]
If a provision is unenforceable, the remaining terms continue to apply to the extent permitted by law. Nothing restricts truthful reviews, reporting concerns to regulators, lawful whistleblowing, or exercising nonwaivable rights. No blanket release of claims, mandatory arbitration or class-action waiver is included; these require a separate assessment of fairness, enforceability and operational cost.
